By downloading, installing, copying, or otherwise using the ComputeCpp™ Community Edition software, including any associated components, media, printed materials, and electronic documentation ("Software"), you agree to the following terms and conditions of this Software License Agreement ("Agreement"). Please read the terms of this Agreement carefully before beginning your download, as pressing the "I AGREE" button at the end of this Agreement will confirm your assent. If you do not agree to these terms, then Codeplay Software Limited is unwilling to license the Software to you; so please press the "CANCEL" button to cancel your download.
License
Codeplay Software Ltd., incorporated and registered in England and Wales with company number 04567874 whose registered office is at Regent House, 316 Beulah Hill, London, United Kingdom, SE19 3HF ("Codeplay") hereby grants you ("Licensee"), free of charge, a non-exclusive license to use and replicate (but not modify) the Software in object code for the purpose of writing and developing software programs and providing such programs to third parties, whether commercially or non-commercially, in accordance with, and for the term of, this Agreement. Codeplay reserves all rights to the Software that are not expressly granted by this Agreement.
Redistribution
Licensee may copy and redistribute unmodified copies of only those components of the Software which are specified below ("Redistributable Components"), in object code form, soley as part of Licensee's software applications or libraries ("Applications"). Licensee acknowledges and agrees that it has no right to, nor shall it permit any third party to: (i) modify the Redistributable Components in any way; or (ii) use, copy or redistribute unmodified copies of the Redistributable Components except as part of the Licensee’s Applications.
Any use of the Redistributable Components within Licensee's Applications will continue to be subject to the terms and conditions of this Agreement, and Licensee must also distribute a copy of this Agreement and reproduce and include all notices of copyrights or other proprietary rights in the Software. The Licensee's redistribution of the Redistributable Components will not entitle it to any payment from Codeplay. Licensee may not transfer any of its rights or obligations under this Agreement.

Restrictions
Except as expressly permitted under this Agreement, Licensee shall not: a. copy, adapt, reverse engineer, decrypt, decompile, disassemble, modify, adapt, hack, emulate, exploit or make error corrections to the Software in whole or in part (other than to the limited extent permitted by law); b. circumvent or bypass any technological protection measures in or relating to the Software; c. use the Software to perform any unauthorized transfer of information or for any illegal purpose; d. copy or redistribute any components of the Software that are not listed in the table of Redistributable Components; e. sublicense, assign, transfer, distribute, publish, rent, lease, sell, export, import, or lend the Software; f. represent in any way that it is selling the Software itself or any license to use the Software, or refer to Codeplay®, ComputeAorta™, ComputeCpp™ or ComputeSuite™ within its marketing materials, without the express prior written permission of Codeplay; g. remove, obscure or otherwise modify any copyright and/or license notices in the Software; h. use the Software for purposes that require functional safety conformance; or i. use any information provided by, or obtained from, the Licensee under this Agreement to create any software whose expression is substantially similar to that of the Software nor use such information in any manner which would be restricted by any copyright subsisting in it.
Support
Licensee is free to submit support requests to Codeplay, for the most recent release only, via the community support website at https://developer.codeplay.com/support. However, Codeplay does not provide any guarantees of support for the Software to Licensee which shall be provided at Codeplay’s sole discretion.
Intellectual Property
The Licensee acknowledges that all Intellectual Property Rights in the Software and any accompanying written materials belongs and shall belong to Codeplay or the relevant third-party owners (as the case may be), and the Licensee shall have no rights in or to the Software, or the written materials that accompany the Software, other than the right to use them in accordance with the terms of this Agreement.
As used herein, the term “Intellectual Property Rights” shall mean patents, utility models, copyright and related rights, trade marks and service marks, trade names and domain names, rights in designs, rights in computer software, database rights, rights to preserve the confidentiality of information (including know-how and trade secrets) and any other intellectual property rights, including all applications for such rights and all similar or equivalent rights or forms of protection which subsist or will subsist, now or in the future, in any part of the world.
Term and Termination
This Agreement is effective until terminated. Codeplay or Licensee may terminate it immediately at any time. Any violation of the terms of this Agreement by Licensee will result in immediate termination by Codeplay. Upon termination, Licensee must cease all activities authorized by this Agreement, uninstall and irrevocably erase all copies of the Software and accompanying materials in its possession, and notify Codeplay of its actions by email to info@codeplay.com.
NO WARRANTIES
Codeplay expressly disclaims any warranty for the Software. THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. IN NO EVENT SHALL CODEPLAY BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, DELICT OR TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE. In particular, Codeplay provides no guarantees of application performance on the target hardware.
General
The invalidity of any portion or provision of this Agreement shall not affect any other portions or provisions. This Agreement is the complete and exclusive agreement between Licensee and Codeplay regarding the Software, and it supersedes any prior agreement, oral or written, and any other communication between Licensee and Codeplay relating to the subject matter of the Agreement. Any amendment or modification of this Agreement must be in writing and signed by both parties. If Licensee does not agree to the terms of this Agreement, Licensee must not install or use the Software. The Licensee acknowledges that the Software and any associated technical information provided under this Agreement may be subject to export and import restrictions in certain countries, and agrees to comply with all applicable international and national laws, including export and local import administration regulations, as well as end-user, end-use and destination restrictions issued by the UK and other governments. This Agreement shall be governed by the laws of Scotland and shall be subject to the exclusive jurisdiction of the Scottish Courts.
